Positioning VTI for Acquisition
From Australian Manufacturer to Successful Acquisition
Challenge
Vac Truck Industries had grown from a single dry-hire vehicle into a substantial Australian vacuum-truck manufacturer, with more than 160 vehicles delivered, 38 staff, three operating locations and a strong national customer base.
When an overseas industry player approached the directors about acquiring the business, the challenge was not simply to sell. It was to understand VTI’s strategic value, strengthen the directors’ negotiating position, and present the business in a way that supported the best possible outcome.

Approach
Harry worked with VTI’s directors to identify the elements that made the business particularly valuable to an acquirer — including its market position, customer relationships, manufacturing capability, intellectual property, and differentiated product engineering.
A key part of that story was VTI’s PTO-based single-engine system, which used one engine to power both the vehicle and vacuum operations, providing payload, servicing and configuration advantages over conventional two-engine designs.
That commercial strategy was then translated into a detailed Information Memorandum and acquisition presentation, supported by business, market, product, operational and financial material. HMA also helped connect the directors with experienced equity and transaction specialists to support the deal process.
Result
VTI was successfully sold.
The engagement moved from strategic positioning and deal preparation through to transaction support — helping the directors articulate the value of the business, present it credibly to prospective buyers and progress the opportunity to a completed acquisition.
